Cytric Online Booking Tool (OBT) - Terms & Conditions

1. Scope & Application

These Terms & Conditions govern access to and use of the Cytric Online Booking Tool ("OBT") provided by Sunway Travel Sdn Bhd for authorized corporate clients and their designated users. The OBT enables business travelers to search, book, modify, and manage business travel arrangements.

By accessing or using the OBT, users acknowledge and agree to comply with:

    • These Terms & Conditions
    • The applicable Corporate or Master Travel Agreement between the corporate client and Sunway Travel;
    • The corporate client's internal travel policy and approval processes; and
    • The terms and conditions imposed by third-party travel suppliers.

Use of the OBT for personal, unauthorized, unlawful, or fraudulent purposes is strictly prohibited.

2. User Eligibility and Account Security

2.1 Authorized Users

Access to the OBT is restricted to employees, contractors, or representatives specifically authorized by the corporate client.

2.2 User Credentials

Users are responsible for:

    • Maintaining the confidentiality of login credentials;
    • Preventing unauthorized access to their account;
    • Promptly notifying their company administrator and Sunway Travel of any suspected unauthorized access.

2.3 Account Suspension

Sunway Travel reserves the right to suspend, restrict, or terminate access without prior notice where:

    • Misuse of the OBT is detected;
    • Payment obligations remain outstanding; or
    • Fraudulent or suspicious activity occurs;
    • The client breaches its contractual obligations.

3. Corporate Responsibility

The corporate client remains fully responsible for all bookings and transactions made through the OBT by its authorized users.

The corporate client shall ensure:

    • Information entered into the OBT is accurate and complete;
    • Travelers comply with applicable travel policies;
    • Required approvals are obtained prior to booking where applicable;
    • Payment obligations are fulfilled in accordance with agreed terms.

Sunway Travel shall not be liable for bookings made in violation of the client's internal policies.

4. Travel Content and Third-Party Suppliers

4.1 Supplier Content

Travel products made available through the OBT may be sourced from airlines, hotels, rail operators, car rental providers, aggregators, Global Distribution Systems (GDS), New Distribution Capability (NDC) channels, or other third-party suppliers.

4.2 Supplier Terms

All bookings remain subject to:

    • Availability at the time of confirmation;
    • Applicable fare rules;
    • Supplier booking conditions;
    • Cancellation, refund, and amendment restrictions imposed by suppliers.

4.3 Intermediary Role

Sunway Travel acts solely as an intermediary facilitating travel arrangements and shall not be deemed the provider of airline, hotel, rail, vehicle rental, or other travel services.

Sunway Travel does not guarantee the performance, quality, safety, suitability, or availability of any supplier services.

5. Pricing, Fares and Charges

5.1 Dynamic Pricing

Airfares, hotel rates, taxes, fees, and ancillary charges are dynamic and may change without notice until booking confirmation and ticket issuance.

5.2 Charges

The total travel cost may include:

    • Airfare or supplier charges;
    • Airport and government taxes;
    • Hotel taxes and local levies;
    • Fare differences;
    • Airline penalties;
    • Hotel cancellation charges;
    • No-show penalties;
    • Service fees charged by Sunway Travel.

5.3 Pricing Errors

In the event of a pricing, system, or technical error resulting in incorrect pricing, Sunway Travel reserves the right to cancel or amend the affected booking.

6. Payment and Credit Facilities

6.1 Payment Methods

Bookings may be paid using approved corporate payment methods, including:

    • Corporate credit cards;
    • Lodge cards;
    • Virtual payment solutions;
    • Approved credit facilities.

6.2 Credit Facilities

Credit facilities are subject to:

    • Prior approval;
    • Approved credit limits;
    • Compliance with payment terms under the Master Agreement.

6.3 Suspension Rights

Sunway Travel may suspend booking privileges where:

    • Credit limits are exceeded;
    • Invoices remain overdue;
    • Financial risk concerns arise.

7. Booking Changes, Cancellations and Refunds

7.1 Amendments

Changes to bookings are subject to supplier rules and availability.

Additional charges may apply, including:

    • Fare differences;
    • Change penalties;
    • Administrative fees;
    • Sunway Service fees.

7.2 Cancellations

Cancellation requests are subject to the fare rules and cancellation policies applicable to the purchased travel product.

7.3 Refunds

Where a refund is permitted:

    • Refund processing shall commence following supplier authorization;
    • Refund timelines are dependent on supplier processing times;
    • Service fees and transaction fees are generally non-refundable unless otherwise agreed in writing.

7.4 Unused Travel

Failure to utilize booked travel services may result in forfeiture of the booking value and additional supplier-imposed charges.

8. Travel Documentation and Entry Requirements

The traveler is solely responsible for ensuring possession of valid:

    • Passports;
    • Visas;
    • Transit permits;
    • Health certificates;
    • Vaccination records;
    • Travel insurance documentation.

Sunway Travel accepts no responsibility for denied boarding, refusal of entry, quarantine requirements, or financial losses arising from non-compliance with travel regulations.

9. Online Approval Workflow

Where approval workflows are configured within Cytric:

    • Approval routing is based on information maintained by the client;
    • Sunway Travel is not responsible for approval delays, rejected requests, or workflow configuration errors;
    • Emergency bookings may be processed in accordance with client-approved procedures.

10. System Availability and Technical Limitations

While reasonable efforts are made to maintain service availability, Sunway Travel does not guarantee uninterrupted access to the OBT.

Service interruptions may occur due to:

    • System maintenance;
    • Supplier connectivity failures;
    • Internet disruptions;
    • Cybersecurity events;
    • Force majeure circumstances.

Sunway Travel shall not be liable for losses arising from such interruptions.

11. Data Protection and Privacy

Personal data processed through the OBT shall be collected, stored, and used for legitimate business travel purposes.

Such processing shall be conducted in accordance with:

    • The Malaysian Personal Data Protection Act 2010 (PDPA);
    • Applicable data protection laws;
    • Sunway Travel's Privacy Policy.

Users acknowledge that personal data may be shared with travel suppliers and technology providers solely for the fulfillment of travel bookings.

12. Intellectual Property

The OBT platform, software, functionality, trademarks, content, and associated materials remain the property of their respective owners and licensors.

Users shall not:

    • Copy;
    • Modify;
    • Reverse engineer;
    • Redistribute; or
    • Commercially exploit.

any part of the OBT without prior written consent.

13. Limitation of Liability

To the fullest extent permitted by applicable law:

    • Sunway Travel shall not be liable for the acts, omissions, insolvency, delays, schedule changes, cancellations, or service failures of any travel supplier;
    • Sunway Travel shall not be liable for indirect, incidental, consequential, special, or economic losses;
    • Any liability arising from the use of the OBT shall be limited to the extent specified in the applicable Master Agreement.

14. Force Majeure

Sunway Travel shall not be liable for delays or failure to perform obligations arising from circumstances beyond its reasonable control, including:

    • Natural disasters;
    • Government actions;
    • Travel restrictions;
    • Pandemics;
    • Labor disputes;
    • Supplier failures;
    • Acts of terrorism or war.

15. Amendments

Sunway Travel may amend these Terms & Conditions from time to time.

Updated versions will be made available through the OBT platform, and continued use of the OBT shall constitute acceptance of such amendments.

16. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of Malaysia.

Any dispute arising from the use of the OBT shall be subject to the exclusive jurisdiction of the courts of Malaysia.
